SECTION I - PROPOSAL DATA SHEET (PDS)
The following specific data for the proposed Works shall complement, supplement, or amend the
provisions in the Instructions to Proposers (ITP). Whenever there is a conflict, the provisions
herein shall prevail over those in ITP.

Place: The Pre-Bid meeting shall be an online meeting. The virtual meeting
details will be shared at least 7 (seven) calendar days before the pre-bid meeting
date with prospective bidders who purchased the bidding document.
Prospective Proposers are strongly advised to attend the site visit in order to
familiarize themselves with the site conditions, access constraints, interfaces,
and other factors that may affect the preparation of their Proposals.
Failure to attend the Pre-Proposal Meeting or the site visit shall not be a cause
for disqualification; however, Proposers shall be deemed to have obtained all
information necessary for the preparation of their Proposals.
C. Preparation of Proposals
ITP 11.1
The language of the Proposal is: English
All correspondence exchange shall be in English language.
Language for translation of supporting documents and printed literature is
English.
ITP 12.2(i)

Joint Venture Arrangements shall have the following Provisions:

i. Joint Venture Agreement shall nominate a lead member who will lead and bind
the joint venture agreement and will have the authority to conduct all business
for and on behalf of any and all members of the JV during the bidding process
and, in the event the JV is awarded the Contract, during contract execution,
ii. Lead member shall have lead/ principal share in the joint venture,
iii. The Joint Venture Agreement should specify the scope and part of the contract
to be carried out by each Joint Venture member. The assigned scope and parts
of contract should correspond to the member’s respective experience and
capacity to implement them; and
The Joint Venture agreement includes the clause: “Joint and Several Liability: All
members of the joint venture (JV) shall be jointly and severally liable to the
Employer for the execution of the entire Contract. The JV leader shall have the
authority to bind the JV. Neither the composition, the constitution, and the legal
status nor the scope and parts of the Contract to be carried out by each member, as
specified in the Joint Venture Agreement, shall be altered without the prior consent
of the Employer. Such consent shall not relieve any altered JV from the joint and
several liability to the Employer for the execution of the entire Contract.”
ITP 12.2(k)
The Proposer shall submit as part of its Technical Part the following additional
documents:
Code of Conduct for Contractor’s Personnel (ES)
The Proposer shall submit its Code of Conduct that will apply to Contractor’s
Personnel (as defined in Sub-Clause 1.1.16 of the General Conditions), to ensure
compliance with the Contractor’s Environmental and Social (ES) obligations
under the Contract.
The Proposer shall use for this purpose the Code of Conduct
form provided in Section IV. No substantial modifications shall be made to this
form, except that the Proposer may introduce additional requirements, including
as necessary to take into account specific Contract issues/risks.
In addition, the Bidder shall detail how this Code of Conduct will be
implemented. This will include how it will be introduced into conditions of
employment/engagement, what training will be provided, how it will be
monitored and how the Contractor proposes to deal with any breaches.
The Contractor shall be required to implement the agreed Code of Conduct.
Management Strategies and Implementation Plans (MSIP) to manage the
(ESHS) risks
The Bidder shall submit Management Strategies and Implementation Plans
(MSIP) to manage the following key Environmental, Social, Health and Safety
(ESHS) risks.

Note: All pages of the Bid, including all supporting documents, shall be
provided in a logical sequence and each page shall be numbered. To facilitate
the Employer’s evaluation process, the Bidder shall provide an Index/ Table of
Contents that describes the contents of the Bid and the relevant page numbers.
ITP 12.3 (e)
The Proposer shall submit with its Proposal the following additional documents:
The priced Price Schedules/BOQ must additionally be submitted digitally on
CD/USB Memory with the Financial Proposal. In case of conflict between the
printed and digital copy, the printed copy shall prevail.
Unit prices must be entered as two digits after the comma.
ITP 14.1
Alternative Proposals shall not be considered.
ITP 15.1
(a) Proposers shall propose for the following component of the Works on a
single responsibility basis: All components of Works except the items to
be measured on site. These include all requirements under the
Section I - Proposal Data Sheet (PDS) 5
Contractor’s responsibilities for testing and commissioning of the works
executed including integrated testing and commissioning, the acquisition
of all permits, approvals and bidding licenses, etc.; the operation,
maintenance and such other items and services as may be specified in
the Bidding Documents.

responsibility of the Employer
(b) The parts of the Works for which payment will be made on the basis of
measurement are specified in Preamble of Schedule of Priced Activities.
The method for determining the payment for these parts of the Works is
also specified in Sub-Clause 14.1 of the Particular Conditions- Part B
ITP 15.3
The prices quoted by the Proposer shall be subject to adjustment during the
performance of the Contracts.
ITP 15.8
Existing text is deleted and replaced with the following revised text:
All duties, taxes (excluding VAT), and other levies payable by the Contractor
under the Contract, or for any other cause, as of the date 28 days prior to the
deadline for submission of Bids, shall be included in the rates and prices and the
total Proposal Price submitted by the Proposer.
ITP 16.1
The currency(ies) of the Proposal and the payment currency(ies) shall be in
accordance with Alternative A as described below:
Alternative A (Proposers to quote entirely in local currency):
(a) The prices shall be quoted by the Proposer in the Schedules of Priced
Activities and Sub-activities entirely in Turkish Lira and further referred
to as “the local currency”. A Proposer expecting to incur expenditures in
other currencies for inputs to the Works supplied from outside the
Employer’s country (referred to as “the foreign currency requirements”)
shall indicate in the Appendix to Proposal - Table C, the percentage(s) of
the Proposal Price (excluding Provisional Sums), needed by the Proposer
for the payment of such foreign currency requirements, limited to no more
than three foreign currencies.
(b) The rates of exchange to be used by the Proposer in arriving at the local
currency equivalent and the percentage(s) mentioned in (a) above shall be
specified by the Proposer in the Appendix to Proposal - Table C, and shall
apply for all payments under the Contract so that no exchange risk will be
borne by the successful Proposer.
ITP 17.3
At this time the Employer does not to execute certain specific parts of the Works
by subcontractors selected in advance.

ITP 17.4
(a) Contractors proposed subcontracting: Maximum percentage of subcontracting
permitted is:
50% of the total contract amount.
30% of the total contract amount is allowed for single sub-contractor.
(b) Proposers proposing to subcontract shall specify in Section IV- Proposal Forms,
the activity(ies) or parts of the Works to be subcontracted along with complete
details of the subcontractors and their qualifications.
ITP 17.5
The parts of the Works for which the Employer permits Proposers to propose
Specialized Subcontractors are designated as follows:

A Proposal Security shall be required.
A Proposal-Securing Declaration shall not be required.
The amount and currency of the Proposal Security shall be:
USD $ 70,000,000 () or equivalent for Lot 1,
USD $ 40,000,000 () or equivalent for Lot 2,
USD $ 40,000,000 () or equivalent for Lot 3,
USD $ 70,000,000 () or equivalent for Lot 4,
Note: Proposal Security is required for each lot as per amounts indicated against
each lot. Proposers have the option of submitting one Proposal Security for all
lots (for the combined total amount of all lots) for which Proposals have been
submitted, however if the amount of Proposal Security is less than the total
required amount, the Employer will determine for which lot or lots the Proposal
Security amount shall be applied.
The Proposal Security shall only be in the form of an unconditional and
irrevocable bank guarantee issued by a reputable Bank. The written letter
confirming the validity of the Proposal Security from the issued Bank shall be
provided.
An irrevocable letter of credit or a cashier’s or certified check shall not be
accepted as Proposal Security.

ITP 20.1
The Proposal shall be valid until 31.12.2026
ITP 20.3
The Proposal price shall be adjusted by the following factor(s): The Proposal
Price shall be adjustable. The price adjustment mechanism, including the
applicable indices and formula, shall be specified in the Proposal Data Sheet and
the Conditions of Contract.
ITP 21.1
The written confirmation of authorization to sign on behalf of the Proposer shall
consist of:
a. The name and description of the documentation required to
demonstrate the authority of the signatory to sign the Proposal such
as a Power of Attorney; and
b. Copies of original documents indicating the Proposer's
establishment, legal status, place of registration and headquarters
c. In the case of Proposals submitted by an existing or intended JV, an
undertaking signed by all parties (i) stating that all parties shall be
jointly and severally liable, and (ii) nominating a Representative who
shall have the authority to conduct all business for and on behalf of
any and all the parties of the JV during the bidding process and, in
the event the JV is awarded the Contract, during contract execution.

H. Opening of Financial Parts
ITP 34.1
The Letter of Proposal and Price Schedules shall be initialed by all
representatives of the Employer conducting Proposal opening. Each Financial
Proposal shall be numbered and any modification to the unit or total price
shall be initialed by the Representative of the Employer.
I. Evaluation of Financial Part
ITP 38.1
The currency that shall be used for Proposal evaluation and comparison
purposes to convert, at the selling exchange rate, all Proposal prices expressed
in various currencies into a single currency is: Turkish Lira
The source of exchange rate shall be: the Central Bank of Republic of rkiye
The date for the exchange rate shall be the deadline for submission of Proposals
as specified in ITP 23, unless otherwise specified by the Employer.
The currency(ies) of the Proposal shall be converted into a single currency in
accordance with the procedure under Alternative A that follows:
Alternative A: Proposers quote entirely in local currency
For comparison of Proposals, the Proposal Price, corrected pursuant to ITP 37.1,
shall first be broken down into the respective amounts payable in various
currencies by using the selling exchange rates specified by the Proposer in
accordance with ITP 16.1.
In the second step, the Employer will convert the amounts in various currencies
in which the Proposal Price is payable (excluding Provisional Sums but
including Daywork where priced competitively) to the single currency identified
above at the selling rates established for similar transactions by the authority
specified and on the date stipulated above.
ITP 39.1
A margin of domestic preference shall not apply.
ITP 40.1 (f)

Section II - Evaluation and Qualification Criteria
(Without Initial Selection)
This section contains all the criteria that the Employer shall use to evaluate Proposals and qualify
Proposers. No other factors, methods or criteria shall be used other than specified in this Bidding
document. The Proposer shall provide all the information requested in the forms included in Section
IV, Proposal Forms.
Wherever a Proposer is required to state a monetary amount, Proposers should indicate the USD
equivalent using the rate of exchange determined as follows:
For construction turnover or financial data required for each year - Exchange rate prevailing
on the last day of the respective calendar year (in which the amounts for that year are to be
converted) was originally established.
Value of single contract - Exchange rate prevailing on the date of the contract.
Exchange rates shall be taken from the publicly available source identified in ITP 38.1. Any error in
determining the exchange rates in the Proposal may be corrected by the Employer.

1.1 Updated Information
The Proposer’s qualification shall be assessed in accordance with the Qualification
table included in this section.
1.2 Subcontractors
Only the Specialized Subcontractors as approved by the Employer will be
considered. The Proposer shall provide in Section IV, Proposal Forms the relevant
details of all proposed subcontractors.
1.3 Financial Resources
Using the relevant Form No FIN 3.1 in Section IV, Proposal Forms, the Proposer must
demonstrate access to, or availability of, financial resources such as liquid assets,
unencumbered real assets, lines of credit, and other financial means, other than any
contractual advance payments to meet the overall cash flow requirements for this
Contract and its current Works commitment.
1.4 Contractor’s Representative and Key Personnel
The Proposer must demonstrate that it will have a suitably qualified Contractor’s
Representative and suitably qualified (and in adequate numbers) minimum Key
Personnel, as described in the Employer’s Requirements.

Personnel and such other Key Personnel that the Proposer considers appropriate,
together with their academic qualifications and work experience. The Proposer
shall complete the relevant Forms in Section IV, Proposal Forms. [If the contract
has been assessed to present potential or actual cyber security risks, the Proposer
must be required to include Cyber security expert/s among the Key Personnel.]
If any of the Key Personnel proposed by the Proposer is determined by the
Employer not meeting the specified requirements, the Employer reserves the right
to require the Proposer to replace such key personnel with the fully qualified and
experienced key personnel prior to contract award, if awarded to the Proposer.

Employer not meeting the specified characteristics, the Employer reserves the right
to require the Proposer to replace such key equipment with the key equipment that
meets the specified characteristics prior to contract award, if awarded to the
Proposer.
The Proposer shall provide its strategy for acquiring and maintaining the key
equipment that may be needed to execute the Works in accordance with the Work
Program.
The Proposer shall provide details in the relevant Form in Section IV.

2. Evaluation of Technical Part (ITP 31)
Assessment of adequacy of Technical Proposal with Requirements in accordance with ITP
